Terms and Conditions of Service – GiaNet Media

1. Purpose and acceptance
These Terms and Conditions of Service (the "Terms") govern access to and use of the services offered by GiaNet Media, a multimedia production studio based in Otranto (Salento, Italy), operated by Giannetta Francesco, sole proprietorship, VAT number 04410590758, registered office at Via Canonico Martire Schito 13, 73028 Otranto (LE), Italy, email [email protected] (hereinafter "GiaNet Media", "we" or the "Provider").
By using the website, registering an account, requesting a quote, or purchasing any service, product, subscription or credit package offered by GiaNet Media, the user (hereinafter the "Customer" or "User") declares to have read, understood and fully accepted these Terms. If the User does not accept any part of these Terms, they must refrain from using the services.
These Terms apply both to relationships with consumers (natural persons acting for purposes unrelated to their trade, business or profession, hereinafter "Consumers") and to relationships with professionals, businesses and organizations (hereinafter "Business Customers"), with the differences specifically indicated in the following sections.
2. Description of services
GiaNet Media offers, by way of example and not limitation, the following services:
- Video and photo production: filming, editing, post-production, and photo shoots for events, businesses and private clients;
- Web agency and website development: design, development, maintenance and evolution of websites and applications;
- Graphic design and branding: graphic design, logos, communication materials and visual identity;
- Audio and music: audio production, mixing, mastering and related services;
- Publishing: publishing house and record label activities, including procedures for the assignment of ISBN and ISRC codes;
- Hospitality: management of the "La Ozza" B&B accommodation facility.
The specific features, delivery times, prices and particular conditions of each service are indicated in the Price List published on the website and/or in the customized quote provided to the Customer prior to conclusion of the contract. In case of discrepancy between the general description of services contained in these Terms and what is specifically agreed in the quote or order, the terms agreed in writing with the individual Customer shall prevail.
GiaNet Media reserves the right to modify, suspend or discontinue the offering of one or more services, giving notice on the website, without prejudice to commitments already made to Customers for orders in progress.
3. Registration, account and user responsibility
Access to certain features (reserved area, order history, purchase of subscriptions or credit packages, opening of support tickets) requires registering an account by providing truthful, up-to-date and complete information.
The User is responsible for:
- the confidentiality of their own login credentials (username and password) and for any activity carried out through their account;
- promptly notifying GiaNet Media in case of unauthorized access or suspected compromise of the account, by writing to [email protected];
- the truthfulness and accuracy of the personal, billing and contact data provided during registration and purchase.
GiaNet Media reserves the right to refuse, suspend or cancel an account in case of false information, fraudulent use, or breach of these Terms, as set out in Section 13.
4. Orders, quotes and formation of the contract
For custom/commissioned services (video/photo production, website development, graphic design, audio, publishing), the contractual relationship is formed upon written acceptance (including by email) of a quote by the Customer, or upon order confirmation and corresponding payment made through the website.
The quote indicates the subject matter of the service, the price, indicative delivery times and any particular conditions (e.g., number of revisions included, materials to be supplied by the Customer). In the absence of express acceptance, the quote is not binding on the parties.
For purchases made directly through the website (e.g., credit packages, subscriptions, catalog products), the contract is deemed concluded when the Customer receives confirmation of the order and of successful payment.
GiaNet Media reserves the right not to accept an order, giving reasoned notice to the Customer, in particular in case of unavailability of the service, invalid payment details, or suspected fraud.
5. Prices, payments and invoicing
Service prices are indicated in the Price List published on the website or in the specific quote provided to the Customer and, unless otherwise stated, are inclusive of all charges under the applicable tax regime described below.
Tax regime. Giannetta Francesco operates under the Italian flat-rate scheme ("regime forfettario") pursuant to Law No. 190 of 23 December 2014, paragraphs 54 to 89. Accordingly, amounts charged for the services rendered are invoiced without the application of VAT, with the notation "transaction carried out pursuant to Article 1, paragraphs 54-89, Law No. 190/2014 – Flat-Rate Scheme, not subject to VAT." The price displayed or agreed therefore represents the total amount due by the Customer, except for stamp duty where applicable by law.
Payment methods. Online payments are processed through the payment service provider Stripe, which independently manages payment card data according to its own security standards (PCI-DSS); GiaNet Media does not store full payment card data. For custom services based on a quote, payment may be requested according to agreed terms (e.g., deposit upon order confirmation and balance upon delivery, bank transfer, or other methods indicated in the quote).
Invoicing. Upon completion of each purchase or at the conclusion of the service, GiaNet Media issues a regular invoice based on the data provided by the Customer during registration or ordering. Order and invoice history can be consulted in the account's reserved area.
Delays in payments due from the Customer may result in suspension of service delivery and/or account access, without prejudice to GiaNet Media's right to pursue debt recovery through appropriate channels.
6. Subscriptions, credits and renewals
For certain services, GiaNet Media may offer subscription plans or prepaid credit packages, purchasable through the reserved area of the website.
- Credit packages: purchased credits are deducted based on usage of the related services and remain valid according to the conditions indicated at the time of purchase (e.g., any expiration date). Unused credits do not automatically entitle the Customer to a refund, unless otherwise contractually stated or required by law, without prejudice to the withdrawal rights set out in Section 9.
- Subscriptions: where offered, the subscription automatically renews at the end of the period (monthly/annual), unless cancelled by the Customer within the terms indicated at the time of subscription or through the account's reserved area, before the renewal date. Renewal results in automatic charging of the fee via the payment method registered with Stripe.
The Customer may at any time check the status of their subscription and remaining credit balance in their reserved area.
7. Intellectual property
GiaNet Media materials and portfolio. Unless otherwise agreed in writing, the website, trademark, logo, texts, portfolio images, templates and software developed in-house by GiaNet Media remain the exclusive property of GiaNet Media / Giannetta Francesco and are protected under applicable copyright and industrial property laws. Unauthorized reproduction, distribution or reuse of such materials is prohibited.
Content provided by the Customer. A Customer who provides GiaNet Media with their own materials (texts, images, trademarks, logos, audio recordings, pre-existing videos) represents that they own the relevant rights or are authorized to use them, and retains ownership thereof. The Customer grants GiaNet Media a limited license to use such materials to the extent necessary to carry out the commissioned service.
Commissioned works. Unless a specific written agreement in the quote states otherwise, definitive ownership and the license to use the final deliverables (videos, photos, websites, graphic materials, music tracks) produced on commission for the Customer transfer to the Customer upon full payment of the agreed price. Until then, rights remain with GiaNet Media. GiaNet Media nonetheless reserves the right to use the works produced, or part of them, for portfolio and promotional purposes, unless expressly prohibited in writing by the Customer for confidentiality reasons.
ISBN/ISRC codes. For publishing and record label services, the assignment of ISBN/ISRC codes follows the specific procedures and conditions indicated in the relevant publishing quote/contract.
8. Delivery, timing and revisions for commissioned work
Delivery times indicated in quotes are indicative in nature, unless expressly agreed as essential deadlines, and may vary depending on project complexity, the timeliness with which the Customer provides materials and feedback, and any force majeure events.
The number of revisions included in the agreed price is indicated in the quote. Additional revisions beyond those included, requested by the Customer outside the agreed scope, may be subject to a separate quotation.
The Customer undertakes to promptly provide the materials, information and approvals necessary for performance of the service; delays attributable to the Customer may result in a proportional extension of delivery times, without liability for GiaNet Media.
9. Consumer right of withdrawal
Pursuant to Articles 52 et seq. of the Italian Consumer Code (Legislative Decree 206/2005), a Consumer who purchases services remotely from GiaNet Media may, subject to the exceptions provided by law (for example, for services whose performance has already begun with the Consumer's express consent and knowing waiver of the right of withdrawal, or for digital content supplied on a non-tangible medium whose supply has already begun with prior consent), exercise the right of withdrawal within the statutory timeframe.
The methods, timeframes, exclusions and procedure for exercising the right of withdrawal are set out in detail on the dedicated "Right of Withdrawal" page of the website, which forms an integral part of these Terms. Consumers are invited to review it before making a purchase.
The right of withdrawal referred to in this Section does not apply to relationships between GiaNet Media and Business Customers, unless otherwise specifically agreed by contract.
10. Referral/affiliate program and payouts
Where active, GiaNet Media may make available to Users a referral/affiliate program, allowing them to earn compensation in connection with new customers or orders generated through personal referral links or codes, according to the specific program conditions published on the website or communicated to the User upon joining.
Compensation earned is credited to the affiliate User's account balance and may be requested for payout according to the methods, minimum thresholds and timeframes indicated in the specific program conditions. GiaNet Media reserves the right to verify the legitimacy of conversions generated and to suspend or cancel compensation arising from fraudulent, abusive activity or activity contrary to the program conditions.
Participation in the referral/affiliate program does not, in any way, constitute an employment relationship, agency relationship, or professional collaboration with GiaNet Media, unless otherwise agreed in writing.
11. Reviews and user-generated content
Users may be invited to leave reviews regarding the services received. Reviews must be truthful, relevant, and relate to an experience actually had with GiaNet Media; defamatory, offensive, discriminatory or unlawful content is prohibited.
GiaNet Media reserves the right not to publish, to remove, or to moderate reviews and other user-generated content (comments, messages in support tickets) that are found to be irrelevant, clearly false, infringing on third-party rights, or contrary to these Terms, without this entailing any obligation of prior notice, without prejudice to the User's right to request clarification by writing to [email protected].
By publishing a review or other content, the User grants GiaNet Media a non-exclusive license to use it for display on the website and for promotion of its services, without prejudice to the User's ability to request its removal.
12. Limitation of liability
GiaNet Media undertakes to provide its services with the professional diligence required by the nature of the activity performed. To the extent permitted by applicable law:
- GiaNet Media does not guarantee that the website and online services will always be available, error-free or uninterrupted, as interruptions may occur due to maintenance, updates, or technical causes beyond its control;
- GiaNet Media's liability for any direct damages arising from contractual non-performance is limited, except in cases of willful misconduct or gross negligence, to the amount actually paid by the Customer for the service concerned;
- GiaNet Media is not liable for indirect damages, data loss, loss of profit, or damages resulting from improper use of the services by the User or from force majeure events;
- nothing in these Terms excludes or limits liability that cannot be excluded or limited under mandatory applicable law, in particular for the protection of Consumers.
13. Suspension/termination of the account
GiaNet Media reserves the right to suspend or terminate, in whole or in part, a User's access to the services and to their account, with immediate effect and prior notice where reasonably possible, in the following cases:
- breach of these Terms or of the specific conditions of a service;
- fraudulent, abusive or unlawful use of the services or of the referral/affiliate program;
- failure to pay amounts due;
- provision of false or inaccurate data during registration or purchase.
The User may at any time request termination of their account and/or deletion of their data, in accordance with the website's privacy policy, by writing to [email protected], without prejudice to contractual and tax obligations already accrued.
14. Governing law and jurisdiction
These Terms are governed by Italian law.
For disputes relating to relationships with Consumers, the competent court is that of the place where the consumer resides or is domiciled, pursuant to the mandatory provisions of the Italian Consumer Code.
For disputes relating to relationships with Business Customers (professionals, businesses and organizations), the Court of Lecce shall have exclusive jurisdiction.
15. Changes to these terms
GiaNet Media reserves the right to modify these Terms at any time, to adapt them to regulatory changes, to the evolution of the services offered, or for organizational needs. Changes will be published on the website with an indication of the last update date and, where they materially affect the rights of registered Users, will be communicated by email or via notification in the reserved area.
Use of the services following publication of the changes constitutes acceptance thereof; the User retains the right to terminate their account should they disagree with the changes made.
